Public agreement on the provision
of voluntary charitable aid
This contract is an official and public offer to provide charitable aid to CO “UA.NOVA” (hereinafter the Foundation) to enter into a charitable donation agreement in accordance with Article 641 of the Civil Code of Ukraine. This contract is public, that is, in accordance with Article 633 of the Civil Code of Ukraine, its conditions are the same for all Benefactors (Donors) regardless of their status (individual, legal entity, individual entrepreneur) without favoring one Benefactor over another. By concluding this Agreement, the Benefactor (Donor) fully accepts the conditions and procedure for providing voluntary charitable aid (donations) and all other terms of the agreement. The contract is considered concluded from the moment of clicking the "Support" button on the voluntary donation payment page.
1.1 Public offer (hereinafter - the "Offer") - a public offer of the Foundation, addressed to an unspecified circle of persons, to conclude a charitable donation contract with the Foundation by remote method (hereinafter - the "Agreement") on the terms contained in this Offer.
1.2 Acceptance of the Offer - full, unconditional and unconditional consent to the conclusion of the Charitable Aid (donation) Agreement, without signing a written copy of the Agreement, by performing an action, regarding the transfer of funds using the method, information and services posted on the Foundation's website at the time of such transfer or crediting funds to the Foundation's bank account. Having performed the actions specified in this Offer, the Benefactor (Donor) agrees to all the terms and conditions and is aware of the purpose of public fundraising with the subsequent right to use these funds by the Foundation for statutory purposes, including the administrative expenses of the Foundation.
1.3 Charitable donation (aid) is the object of the agreement of the parties, which was chosen by the Benefactor (Donor) on the Foundation's website in the form of a voluntary transfer to the Fund's ownership of funds for the implementation of the Foundation's statutory activities, remotely. Funds received from the Benefactor as charitable aid (donations), regardless of the direction of the Foundation's activity chosen by the Benefactor (Donor), may be spent by the Foundation to ensure its statutory activities, including in accordance with independently determined directions of further assistance.
1.4 The website of the Foundation is the website at the address https://uanova.fund/ created for receiving charitable aid by the Foundation on the basis of familiarization of the Benefactor (Donor) with the proposed areas of activity of the Foundation, with further independent determination by the Foundation of the areas of use of charitable aid (donations).
1.5 Benefactor (Donor) is a legal entity or an individual entrepreneur who has reached the age of 18 and voluntarily performs charitable activities and provides charitable aid (donation). The benefactor (Donor) independently determines the amount of monetary aid, which cannot be returned. The transfer of funds in the form of charitable aid (donations) is carried out using payment services and/or payment information posted on the website of the Foundation, or in another way agreed by the Parties. By actually providing charitable aid (donations), the Benefactor (Donor) confirms the voluntariness of providing such assistance. Compliance with the requirements specified in this offer, the legality of the origin of funds, the absence of any rights of third parties to such funds, while the Fund reserves the right to receive from the Benefactor (Donor) information and supporting documents regarding the provided charitable aid (donations).
1.6 The charity organization "INTERNATIONAL CHARITY FOUNDATION "UA.NOVA" (identification code 44835755) is a legal entity that was created and operates in accordance with the current legislation of Ukraine. It is located at the following address: 49000, Dnipro, Hlinky str., bldg. 2, office № 408. The foundation is a non-profit organization, the purpose of which is not to obtain profit for its subsequent distribution among participants.
1.7 The Foundation's receipt of funds from Benefactors (Donors) is charitable aid (donation) in accordance with the Law of Ukraine "On Charitable Activities and Charitable Organizations".
1.8 The Foundation carries out charitable activities in accordance with the procedure stipulated by its Statute, other internal documents of the Foundation and the current legislation of Ukraine. The Foundation's activities do not conflict with the legislation of those states on the territory of which its activities extend.
1.9 The Foundation processes personal data of Benefactors (Donors), which the Foundation receives when the Benefactor (Donor) provides monetary assistance. Providing personal data on the Foundation's website when making a money transfer, or when performing other actions on the website that involve the use of personal data, the Benefactor (Donor) gives the Foundation his voluntary consent to the processing, use (including transfer) of his personal data, as well as taking other actions provided for by the Law of Ukraine "On the Protection of Personal Data", without limiting the validity period of such consent. The Foundation undertakes not to disclose the information received from the Benefactor (Donor). It is not considered a violation for the Foundation to provide information to third parties, in cases where the disclosure of such information is established by the requirements of the current legislation of Ukraine. The Benefactor (Donor) is responsible for keeping his personal data up-to-date. The Foundation is not responsible for poor performance or non-fulfilment of its obligations due to the irrelevance of information about the Benefactor (Donor) or its inconsistency.
1.10 This agreement was concluded on the territory of Ukraine and is valid in accordance with the current legislation of Ukraine and extends to the territory of the Foundation. The activities of the Foundation extend to the entire territory of Ukraine and to foreign countries (including, but not exclusively, in the region of Eastern Europe and Central Asia). The Foundation independently determines the states (places, territories), terms and beneficiaries of charitable aid in the Foundation's founding documents, charitable programs or other decisions of the Foundation's management. All disputes arising between the Benefactor (Donor) and the Fund are resolved through negotiations, if it is impossible to resolve disputes through negotiations, disputes are considered by the courts in accordance with the procedure established by the current legislation of Ukraine. The Foundation has the right to make changes to this Agreement unilaterally. In addition, changes to the Agreement may also be made by mutual agreement of the Parties in accordance with the procedure provided for by the current legislation of Ukraine.
